1. Eligibility: Pizza Hut Pick the Difference Sweepstakes (the "Promotion") is open only to individuals who are legal residents of and physically located in AL, AR, FL, GA, KY, LA, ME, MS, OR, TN, TX, UT or VA (void in Puerto Rico, all U.S. territories and possessions and all overseas military installations) who are at least thirteen (13) years old at the time of entry. Employees of Sullivan Higdon & Sink ("Sponsor"), SCA Promotions, Inc., ("Administrator"), Sullivan Higdon & Sink and each of their respective parents, affiliates, subsidiaries, franchisees, advertising, and promotion agencies, directors, officers and distributors and other prize suppliers, and each of their immediate family members (spouse, in-laws, grandparents, parents, siblings, grandchildren and children) and/or those living in the same household (whether legally related or not) of each are ineligible to enter or win a prize in this Promotion. Subject to all applicable federal, state, and local laws and regulations. Void where prohibited. Participation constitutes entrant's full and unconditional agreement to these "Official Rules" and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Promotion consists of a sweepstakes ("Sweepstakes").

2. Sweepstakes Period: The Promotion begins on June 08, 2009 at 12:00:01 a.m. Eastern Time ("ET") and ends on July 18, 2009 at 11:59:59 p.m. ET. Administrator is an independent judging organization whose decisions as to the administration and operation of the Promotion and the selection of potential winners are final and binding in all matters related to the Promotion. Sweepstakes: Administrator will randomly select the potential Sweepstakes Grand Prize winner, from all eligible entries received on or before July 20, 2009.

3. How to Enter: During the Promotion Period, visit www.pizzahutpays.com and follow the links and instructions to complete and submit the registration including your full name, a valid email address, phone number, and a valid home address. P.O. Boxes are not permitted. Receipt of an entry occurs when Administrator's servers record the entry information. Each participant may enter/play one (1) time per week during the Promotion Period. For the purpose of this promotion, a week is defined as Monday 12:00:01 a.m. ET through Sunday 11:59:59 p.m. ET. Multiple entrants are not permitted to share the same e-mail address. Any attempt by any entrant to obtain more than the stated number of entries/plays by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system (including, but not limited to, entries submitted using any bot, script, macro, or sweepstakes service) to submit entries/plays is prohibited and will result in disqualification. Entries/plays originating at any other website are not permitted and will be disqualified. In the event of a dispute as to an entry/play, the authorized account holder of the email address used to enter will be deemed to be the entrant, provided that person meets the eligibility requirements to participate in the Promotion. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Potential winners may be required to show proof of being the authorized account holder. If a dispute cannot be resolved to the Administrator's satisfaction, the entry/play will be deemed ineligible. The submission of an entry is solely the responsibility of the entrant. Proof of sending (such as an automated computer receipt confirming delivery of email or "thanks for entering" message does not constitute proof of actual receipt by Administrator of an entry/play for purposes of this Promotion. Only eligible entries/plays actually received by Administrator's server before the end of the Promotion Period will be included. Illegible, unintelligible, incomplete, garbled, lost, late, misdirected, forged, altered, or mutilated entries/plays will be disqualified.

4. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY, AND THE POTENTIAL INSTANT WIN GAME WINNER AND/OR SWEEPSTAKES WINNER HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY AND IS VOID AND WILL NOT BE HONORED.

5. Prize Drawings: The potential Sweepstakes Grand Prize winner will be notified by mail, e-mail or phone after the date of the drawing, at Sponsor's sole discretion. The Grand Prize winner (parent/legal guardian if winner is a minor in his/her state of residence) may be required to sign and return to Sponsor an Affidavit of Eligibility, Liability & Publicity Release ("Affidavit") and provide any additional information (such as social security number) that may be required by Sponsor or Administrator in order to claim his/her prize. To be eligible to receive the Grand Prize, the Grand Prize winner must return the Affidavit within five (5) days from the date the notice or attempted notice is sent. If a potential winner cannot be contacted, fails to sign and return the Affidavit within the required time period (if applicable), or prize is returned as undeliverable, potential winner forfeits prize. The potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. All Affidavits are subject to verification by Sponsor or Administrator. Rejection, faultiness, or return as undeliverable of any prize/prize notification, or inability of Administrator to contact a potential winner after a reasonable attempt has been made (determined in Administrator's sole discretion), may result in disqualification and selection of an alternate winner by random drawing from among all remaining eligible entries. In the event that a potential winner of the Sweepstakes is disqualified for any reason, Sponsor may award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which, the applicable prize will remain un-awarded. If applicable, winners may be issued an IRS Form 1099, which documents the value of the prize won for tax purposes.

6. Prizes and Odds of Winning: ONE (1) "Grand Prize": Free Pizza Hut Pizza for a Year. This is defined as two large one-topping pizzas per month for 12 months for a total of no more than 24 Pizza Hut pizzas. Approximate Retail Value ("ARV") of the Grand Prize: $324. Actual value of the Grand Prize may vary. Winner will not receive difference between actual and ARV. The odds of winning the Sweepstakes Grand Prize depend on the number of eligible entries received through July 12, 2009.
Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Total ARV of all prizes: $324.

7. Release: By entering, participants agree to release, indemnify, defend and hold harmless, Sponsor, Administrator, Pizza Hut, Inc. and their respective related companies, parents, subsidiaries, franchisees, affiliates, and their respective agents and agencies, ("Released Parties") from and against any claim or cause of action, including, without limitation, personal injury, death, or damage to or loss of property, arising out of, in whole or part, directly or indirectly, from participation or attempting to participate in the Promotion or from acceptance, possession, misuse, award or use of any prize, or while consuming, participating in and/or preparing for any Promotion or Prize related activity.

8. Publicity: Except where prohibited by law, participation in the Promotion constitutes winner's consent to Sponsor's and its agents' use of winner's name, likeness, photograph, voice, statements, opinions and/or hometown and state for advertising and promotional purposes in any media, worldwide, without further payment, notice or consideration.

9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Sponsor reserves the right, at its sole discretion, to disqualify any individual found to be: (a) violating the Official Rules; or (b) violating the terms of service, conditions of use and/or general rules or guidelines of any Sponsor or Administrator property or service. Any person who supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize will forfeit any prize won and may be prosecuted to the full extent of the law. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing, electronic or human errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to, malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information, any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing; (4) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (5) unauthorized human intervention in any part of the entry process or the Promotion; (6) technical or human error which may occur in the administration of the Promotion or the processing of entries; (7) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion or receipt or use or misuse of any prize; or (8) late, lost, misdirected, illegible, incomplete or mutilated entries or for theft, destruction or unauthorized access to, or alteration of entries. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Promotion, provided that if it is not possible to award another entry due to discontinuance of the Promotion, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

11. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Missouri Western District Eighth Court or the appropriate Missouri State Court located in Jackson County, Missouri; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Missouri without giving effect to any choice of law or conflict of law rules (whether of the State of Missouri or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Missouri.

13. Winners List: Winner List requests will only be accepted after the Promotion end date (listed above) and no later than October 1, 2009. For the Winners List, send an email with subject line: "Pizza Hut Pick the Difference Sweepstakes, Winner List Request," to winnerlist@scapromo.com.

14. Miscellaneous: The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. The invalidity or unenforceability of any provision of these Official Rules or the Affidavit will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules will not constitute a waiver of that provision. For entrants, to the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on the Web Site, these Official Rules control.
